Summary

This role is designed for a senior M&A attorney (6–10 years of experience) who is tired of traditional law firm bureaucracy and wants to lead at the intersection of legal, tax, and technology. The ideal candidate likely comes from a top-tier Private Equity or M&A practice and has transitioned—or is eager to transition—into an "AI-native" workflow. You must be comfortable managing complex cross-border transactions and a $100M debt facility while acting as a "sophisticated buyer" of external counsel. As the first legal hire, you have the unique opportunity to build a "lean but high-leverage" department from scratch using an AI-augmented tech stack. The position is 100% remote and offers high autonomy, replacing billable hours with a focus on deal velocity and structural efficiency. Compensation includes significant participation in a Stock Appreciation Rights (SARs) program, allowing you to share in the growth of a global SaaS portfolio. **You might be a good fit if you:** * Have a JD/LLM and deep experience leading SPAs and due diligence for mid-market acquisitions. * Are "tax-literate" enough to model cross-border deal structures and transfer pricing logic using AI tools. * Prefer "prompt engineering" and automation over writing long-form legal memos. * Thrive in a high-trust, low-meeting environment where risk is quantified in dollars.

Job Description

### The Mission

We are a Delaware-incorporated, remote-first serial acquirer of SaaS companies across North America and Europe. With a portfolio spanning 6+ jurisdictions, a $100M debt facility, and a 400-person global team, our complexity is high, but our team is lean.

We are looking for our first General Counsel & Head of Legal Ops. We don't want to build a massive legal department; we want to build a massive legal advantage. You will be the architect of an AI-augmented legal and tax function that enables us to acquire 5+ companies per year with unprecedented speed and structural efficiency.

4. Tax AI Research: To stay ahead of OECD/Pillar Two and local European tax changes.
